Farrer & Co have advised the majority shareholders of Naim Audio Limited, a UK-incorporated specialist manufacturer and designer of high-end audio equipment, on its merger with French-incorporated manufacturer and designer of high-fidelity drivers and audio equipment, Focal & Co SAS.
Following completion of the deal, the business will have 325 employees at bases in France and the UK and a turnover of over £48m. Focal & Co intend to own and manage Naim and Focal as independent brands going forward, each retaining their own identity and product ranges, but collaborating on R&D.
Farrer & Co's team was led by Corporate Partner Jon Haley, assisted primarily by solicitor Fergal McLoughlin and trainee Harry Birmingham. Alison Hall advised on the property aspects of the transaction, with Catherine Baker and Helen Reid assisting on tax.
