Private Equity

We work regularly in the specialist area of private equity transactions, from management buy-outs (MBO) and buy-ins (MBI) to raising expansion capital and exits. In the context of buy-ins and buy-outs we understand that the focus should be on building solid foundations for the relationship between investors and the management team. Our experience helps us avoid raising issues that are unnecessary or irrelevant that can place strain on this key relationship. Working closely with our Tax team, we are able to provide seamless and pragmatic structuring advice.

Corporate Governance

We advise boards, associations and executives on the full range of corporate governance issues including board structure and composition, reorganisations, elections, conflicts of interest and constitutional change. Our broad client base and wealth of experience mean we have a deep understanding of the tensions that can arise both at board level and between the executive and members during times of transition or crisis. We can provide unambiguous advice coupled with clear communication to your stakeholders to ensure a smooth and proper process and effective risk management.
