Consumer & Regulated Finance

We frequently support and advise private banks on regulated mortgage lending and consumer credit facilities. This includes assisting with the drafting of bespoke regulated mortgage contracts and consumer credit loans for high-value loans and loans to significant key clients. We also provide similar advice in the context of private lending between or to high-net-worth individuals.

We advise private banks and wealth managers on their template lending and security documentation, and have conducted significant projects for many of them in recent years. We also assist clients on the sale and purchase of loan portfolios and the internal transfer of mortgage books.

Recent work highlights

  • LIBOR transition: advised the UK branch of a major Swiss bank on its LIBOR transition project, which included the preparation of new templates using SONIA Term as a reference rate and assistance with the transition of several hundred existing loans from LIBOR to SONIA term, which included regulated mortgage loans, non-regulated residential property loans and commercial property loans, as well as the bank’s entire book of lombard loans.
  • Regulated mortgage development finance: advised a major Swiss bank on a £44 million regulated term loan mortgage to an individual high-net-worth client to fund the development of a super-prime residential property in a prestigious central London location.
  • Regulated mortgage finance: advised a major Canadian bank on a £75 million regulated mortgage to the trustees of two trusts to finance two prime Central London residential properties.
  • Regulated mortgage template project: advised the international wealth management division of a German headquartered global bank on the preparation of its regulated mortgage lending and security documentation.
  • Lombard template project: advised a Swiss private banking group on a documentation refresh exercise for their lombard lending product made available to high-net-worth clients with significant securities portfolios.
  • Regulated mortgage portfolio transfer: advised the UK branch of a Swiss private banking group on the intra-group transfer of a portfolio of regulated mortgage contracts.
  • Regulated mortgage template project: advised a UK private bank on the preparation of new template lending and security documentation for their regulated mortgage products as part of an IT automation project.
  • Independent legal advice project: advised the UK branch of a major Swiss bank on the preparation of a new policy guide in relation to the obtaining of independent legal advice by personal guarantors and individual third-party security providers. We also prepared new template independent legal advice certificates for use in multiple scenarios.
