  • We advise on the incorporation and structuring of joint venture vehicles for a range of clients.   • We work regularly in the specialist area of private equity transactions, from management buy-outs (MBO) and buy-ins (MBI) to raising expansion capital and exits. In the context of buy-ins and buy-outs we understand that the focus should be on building solid foundations for the relationship between investors and the management team. Our experience helps us avoid raising issues that are unnecessary or irrelevant that can place strain on this key relationship. Working closely with our Tax team, we are able to provide seamless and pragmatic structuring advice.

  • We advise boards, associations and executives on the full range of corporate governance issues including board structure and composition, reorganisations, elections, conflicts of interest and constitutional change.
