In the sports sector, we advise clubs, investors, sponsors and governing bodies across a number of sports on all aspects of borrowing and lending. We have particular expertise in football finance, advising UK, European and international banks and direct lenders on established financing products in the market, such as receivables financings (including in relation to broadcast income and player transfer fees) and term and revolving credit facilities. We also specialise in innovative and bespoke football financing transactions, such as playing squad value-linked loans.

In entertainment and media, we have a strong track record of advising clients on a wide range of financings. We have extensive experience in loans secured against media royalties and intellectual property rights for high-profile borrowers, working closely with our Intellectual Property team to see the financings from term sheet through to due diligence, documentation and completion. Having worked in this area for many years, we appreciate the nuances of this market and the interests of different parties, including artists, record labels, music publishers, investors and funders. We draw on this knowledge and experience to help facilitate a smooth transaction from start to finish, working collaboratively with colleagues and external advisers.

Recent work highlights

  • Receivables finance: advised a number of banks and funds on transfer receivables financings, including deals involving counterparty risk on football clubs in the Premier League (England), Ligue 1 (France) and Serie A (Italy).
  • Squad valuing finance: advised a direct lender on a £35 million squad value linked term loan facility to an English football club.
  • Capital pooling arrangements: advised a major European sport organisation on capital pooling arrangements with a related organisation.
  • Sports club restructuring: advised a major UK sports governing body in relation to secured loans made to a member club in connection with the corporate restructuring of the club.
  • Music royalties finance: advised a lender on a £12.5 million financing secured against royalties generated from a music catalogue, income streams from song writing contracts and other intellectual property rights for a well-known singer/songwriter.
  • IP finance: advised a lender on a £7 million financing secured against intellectual property rights including music publishing, writers share and producer royalties.
  • Music publisher finance: advised a private bank in respect of a multi-currency revolving credit facility up to £10 million and £6 million term facility to a global music publisher group secured by charges over their intellectual property rights and debentures.
