Recent work highlights:

  • Acted for the majority shareholders of a hotel chain in the defence of a claim by a minority shareholder alleging unfair prejudice and requiring the purchase of his shares for £70m.
  • Acted for vendors of a gaming company in arbitration and connected litigation over their entitlement under an SPA to deferred consideration in excess of €30m and the correct approach to valuing that consideration.
  • Conducted Commercial Court proceedings on behalf of a UHNW individual seeking delivery up of shares worth €35m following his exercise of a call option agreement.
  • Acted for a venture capital firm in a dispute over the trigger for further multi-million pound investment under a shareholders’ agreement, and attempts by the board to strip assets to a sister company and exclude the VC nominee from management.
  • Represented a UHNW individual in a successful £200m claim setting aside a shareholders’ agreement relating to a JV vehicle on the grounds of fraudulent misrepresentation and breach of fiduciary duty by the JV directors.
