Senior Associate

Charlie is an experienced corporate solicitor, with a focus on financial services transactions and private capital.

Charlie advises private businesses and those investing in, acquiring, and exiting them – as well as providing advice around matters of ongoing governance.

Charlie has a particular focus advising owner-managed businesses and their shareholders throughout their lifecycle and on exit. He also has an extensive knowledge of the regulated M&A sector, acting for sellers and buyers of regulated entities.

Private Businesses

Charlie is an experienced and pragmatic adviser on transactions involving private businesses and investment. He acts on a wide range of corporate transactions and is a recognised adviser for M&A between £10m and £100m. Recent examples include acting for a venture capital firm on the acquisition of an environmental technology business, acting for a family manufacturing business on its sale to private equity, and acting for the owner-managers of a tech brands agency in connection with its sale and ongoing option arrangements to an investment buyer.

Financial Institutions

Charlie has a particular focus in the financial services sector. He is experienced in asset manager / IFA sales and acquisitions and has acted on the sale of one of the largest European technology service providers. Charlie is an adviser to private banks and understands their specific legal and commercial considerations. He has considerable experience in venture capital and private equity structures.

Entrepreneurs and investors

Charlie advises entrepreneurs and early-stage businesses – as well as those who invest in them – through their full lifecycle, from initial investment and shareholder agreements right through to exit, providing focused and tailored practical advice. This advice is complementary to Charlie’s M&A capability, and Charlie has advised on the successful disposal of entrepreneurial businesses to trade buyers and investment firms.

Sport

Charlie works closely with various sporting bodies on a range of sports governance and commercial matters. He is an experienced adviser to governing bodies on their corporate requirements as well as on matters of governance, including the Sports Governance Code. Charlie has advised a Premier League football club on various player transfers and loans.
