Recent work highlights

  • Landed estates finance: advised a large private estate on multiple high-value debt facilities with a private bank and on the separate issue of £105 million of unsecured, fixed interest private placement notes.
  • Trusts finance: advised the trustees of a family trust on a loan made up of trust assets to the beneficiaries of the trust to cover expenses associated with divorce proceedings. The loan was unsecured but convertible into shares in a family business part-owned by the beneficiary.
  • Lending against life insurance portfolios: advised a private bank on an uncommitted multi-currency revolving credit facility secured against a series of life insurance portfolios issued in favour of multiple beneficiaries of a family trust.
  • SIPP: advised a private bank lender in relation to lending against and charging a self-invested personal pension scheme.
  • Bank guarantees for acquisition of African mining services: advised a client engaged in large scale contract mining services in West Africa in connection with two on-demand bank guarantees granted in its favour totalling more than $85.8 million.
  • Livery companies finance: advised a livery company on a secured £7 million term loan from social impact investors and a secured £1m term loan from a trade association, including advising our client on related intercreditor arrangements.
  • UHNW investment finance: advised a high-net-worth investor client on the debt elements of their £15 million investment in a luxury aesthetics business in London and the subsequent restructuring of that investment.
  • UHNW finance: advised on a £10 million secured loan made by a high-net-worth individual and their connected entities to private credit funds making secured bridging loans to UK real estate businesses.
