Graham advises on a wide range of banking and financing transactions. He acts for corporates, private equity sponsors, portfolio companies and individuals on the borrower side, and for banks, private credit providers and other alternative lenders on the lender side, on both domestic and cross-border financings.

Graham’s practice spans several areas, including real estate finance, where he has significant experience acting on both investment and development financings, and general corporate finance, advising borrowers on a range of treasury financing activities.

Other key areas of Graham's practice include sports finance – particularly football finance – where he primarily acts for banks and credit funds in relation to receivables financings, general corporate loans and other products. He also advises on funds finance, advising lenders in relation to financing general partners and limited partners respectively.

Graham's broad experience, which includes a secondment at a leading UK merchant bank, combined with his ability to deliver clear, tailored advice and collaborate effectively with clients and other specialist practice areas across the firm, ensures that clients receive the highest standards of advice and service.

Work Highlights

Mixed use development financing: advised a leading European developer on a £125 million secured, syndicated development financing related to a multi-phase UK residential and commercial development.

Film studios financing: advised Shinfield Studios Limited, majority owned by Shadowbox Studios (a global developer and operator of soundstages for television and film productions), on a £261 million financing from Cain International of the Shinfield Studios development near Reading.

Borrowing base facility: advised a leading British e-commerce business on a secured borrowing base facility linked to the business’ stock and receivables respectively.

Subordinated shareholder loan: advised the shareholders of a well-known British clothing retailer with operations in Europe and the US on a secured £10 million revolving credit facility made available to the business, subordinated to senior debt provided by a third-party lender, and related intercreditor arrangements.

Football receivables financings: advised a number of banks and credit funds on transfer receivables financings, including deals involving counterparty risk on clubs in the Premier League (England), Ligue 1 (France) and Serie A (Italy) respectively.

General partner financings: advised a European lender in relation to facilities aggregating €36 million to limited partners to meet capital commitments to a number of funds, secured against the limited partners’ respective carried interest entitlements.
